1. Agreement to Terms

By accessing and using Vuely.ai and its services (the "Service"), including TikTok and YouTube account management, video publishing, and content scheduling, you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to use the Vuely.ai platform for personal and commercial content scheduling purposes. Under this license you may not:

  • Attempt to decompile or reverse engineer any software contained in Vuely.ai
  • Remove any copyright or other proprietary notations from the materials
  • Use the Service to harass, abuse, or threaten other users
  • Violate any applicable laws or regulations through your use of the Service
  • Use the Service to distribute spam or unsolicited content

3. Third-Party Integrations with TikTok and YouTube

Important: Vuely.ai is a third-party tool and is NOT affiliated with, endorsed by, or sponsored by TikTok Inc. Vuely.ai provides content scheduling services that integrate with TikTok's APIs to help creators manage their TikTok accounts.

Your use of Vuely.ai's TikTok integration services is subject to:

  • TikTok's Terms of Service and Community Guidelines
  • TikTok's Developer Terms of Service
  • TikTok's Data Sharing Agreement
  • All applicable laws and regulations

Vuely.ai is not responsible for any issues, losses, or damages resulting from TikTok platform changes, outages, policy modifications, content removal, or account suspension. Vuely.ai operates the integration as-is, and TikTok reserves the right to modify or discontinue API access at any time.

YouTube Integration

Vuely.ai is a third-party tool and is NOT affiliated with, endorsed by, or sponsored by YouTube or Google. With your authorization, Vuely.ai uses YouTube API Services to let you select your channel, upload and publish videos, set video metadata and privacy settings, read video status, and view YouTube Analytics.

Your use of Vuely.ai's YouTube integration is also subject to the YouTube Terms of Service, the Google API Services User Data Policy, and Google's Privacy Policy. Vuely.ai does not guarantee uninterrupted YouTube API access or immediate publication, and you remain responsible for your content and compliance with YouTube policies.

4. Disclaimer

The materials and services on Vuely.ai are provided on an 'as is' basis. Vuely.ai makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

5. Limitations

In no event shall Vuely.ai or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Vuely.ai, even if we or our authorized representative has been notified orally or in writing of the possibility of such damage.

6. Content Policy and Requirements

Original Content Requirement

You agree that all content scheduled or uploaded through Vuely.ai to TikTok, YouTube, or another connected platform must be:

  • Original content created by you or authorized by you
  • Not automatically copied or scraped from other platforms
  • Compliant with TikTok's Community Guidelines
  • Not infringing on others' intellectual property rights

AI-Generated Content Disclosure

If you use Vuely.ai to schedule AI-generated or AI-modified content, you understand that:

  • You may be required to label such content on TikTok per TikTok's AI-Generated Content policies
  • Realistic AI-generated content depicting humans, faces, or lifelike scenarios must be properly labeled
  • You are responsible for ensuring compliance with TikTok's AIGC (AI-Generated Content) policies
  • Certain AI-generated content may be prohibited (e.g., deepfakes, AI content depicting minors, crisis events)

7. Platform Limitations and Service Availability

You acknowledge that:

  • Vuely.ai's integration depends on TikTok's APIs, which may experience downtime or changes without notice
  • TikTok may throttle, rate-limit, or restrict API access, affecting Vuely.ai's functionality
  • Content posted through Vuely.ai is subject to TikTok's moderation and may be removed for Community Guidelines violations
  • Your TikTok account may be suspended or restricted due to policy violations, and Vuely.ai is not responsible for such actions
  • Vuely.ai does not guarantee immediate posting of content or specific timing
  • Vuely.ai's YouTube integration depends on YouTube API Services, which may experience downtime or policy or endpoint changes without notice
  • YouTube may throttle, rate-limit, restrict, or suspend API access or a channel, and content posted through Vuely.ai remains subject to YouTube's policies and moderation

8. Indemnification

You agree to indemnify, defend, and hold harmless Vuely.ai, TikTok Inc., and their respective officers, directors, employees, and agents from any and all claims, damages, losses, and expenses (including legal fees) arising from:

  • Your breach of these Terms of Service
  • Content you schedule, upload, or post through Vuely.ai
  • Your violation of TikTok's Terms of Service or Community Guidelines
  • Your violation of any applicable law or regulation
  • Infringement of third-party intellectual property rights
  • Claims by third parties relating to your use of Vuely.ai

9. Content Watermarking and Modification Restrictions

You agree not to:

  • Add unauthorized watermarks, logos, or branding to content posted via Vuely.ai
  • Remove or modify TikTok's content attribution or watermarks
  • Use Vuely.ai to circumvent TikTok's systems or integrity protections
  • Engage in bulk posting or automation designed to artificially manipulate engagement

10. Account Security and API Credentials

When you authorize Vuely.ai to access a connected TikTok or Google/YouTube account:

  • You are authenticating via OAuth 2.0 (you do NOT share your platform password with Vuely.ai)
  • Vuely.ai stores secure access tokens on its servers, not on your device
  • You may revoke Vuely.ai's access at any time through your TikTok settings or Google Account permissions
  • You are responsible for maintaining the confidentiality of your Vuely.ai account credentials
  • Vuely.ai implements industry-standard security measures to protect your authorization credentials

11. Compliance with Platform Policies

By using Vuely.ai, you agree to comply with:

  • TikTok's Terms of Service
  • TikTok's Community Guidelines (including policies on misinformation, harassment, violence, etc.)
  • TikTok's Developer Terms of Service
  • TikTok's Branding Guidelines
  • YouTube's Terms of Service and Community Guidelines
  • Google API Services User Data Policy
  • All applicable local, state, and federal laws

Violation of these policies may result in content removal, account suspension, or permanent ban from Vuely.ai or a connected platform.

12. Modifications

Vuely.ai may revise these terms of service at any time without notice. By using this Service, you are agreeing to be bound by the then current version of these terms of service.

13. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Vuely.ai operates, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
